Confidentiality & Non-Disclosure Agreement

Effective Date: 10/23/2026

This Confidentiality, Non-Disclosure, Non-Circumvention, and Intellectual Property Protection Agreement ("Agreement") is entered into by and between the Owner and Recipient of the New Business Hunter platform and associated services.

1. PURPOSE

Recipient is requesting access to evaluate the Protected Platforms solely for potential business, licensing, investment, partnership, or purchasing discussions. Recipient understands that all access is confidential, restricted, temporary, and revocable.

2. CONFIDENTIAL INFORMATION

Recipient acknowledges that the Protected Platforms contain valuable confidential, proprietary, and trade secret information including but not limited to: software systems, AI systems, algorithms, predictive engines, databases, user interfaces, source code, backend architecture, workflows, business logic, revenue models, marketing systems, analytics methods, and all related intellectual property.

3. NON-DISCLOSURE OBLIGATIONS (5-YEAR TERM)

Recipient agrees that for five (5) years from the Effective Date, Recipient shall not directly or indirectly:

• Disclose Confidential Information to any third party
• Share screenshots, recordings, notes, or summaries
• Reproduce any portion of the Protected Platforms
• Reverse engineer any software or automation systems
• Use Confidential Information to create competing products
• Exploit business opportunities or vendor relationships
• Train AI systems using Confidential Information

4. NON-CIRCUMVENTION

Recipient agrees not to circumvent, bypass, or interfere with Owner's business relationships, partnerships, vendors, or strategic contacts introduced through access to the Protected Platforms.

5. LIMITED LICENSE / ACCESS

Access is temporary, revocable, and grants no ownership rights. No intellectual property rights are assigned. All Protected Platforms remain the exclusive property of Owner.

6. INTELLECTUAL PROPERTY OWNERSHIP

All intellectual property remains the exclusive property of Owner. Recipient shall not reverse engineer, imitate, clone, replicate, decompile, scrape, extract, or create derivative works from any Protected Platform.

7. NO RECORDING / CAPTURE POLICY

Recipient shall not without express written consent photograph screens, record audio/video, capture screenshots, screen-record, use transcription tools, or scrape outputs.

8. LIQUIDATED DAMAGES & INJUNCTIVE RELIEF

Recipient acknowledges that unauthorized disclosure or breach may subject Recipient to liquidated damages of ONE MILLION DOLLARS ($1,000,000) per breach event, injunctive relief, and other remedies available at law or equity.

9. GOVERNING LAW & VENUE

This Agreement shall be governed by the laws of the State of California. Any disputes shall be resolved exclusively in California courts.

14. ACKNOWLEDGMENT
